Terms and Conditions

These Terms and Conditions apply only to goods and services supplied by Adaptations Ltd (The Company)

1.0 Contract

1.1 Any Quotation and/or Design Drawing given by the Adaptations Ltd (the Company) is an invitation to you to place an order with the Company.
1.2 No contract exists between you and the Company for the sale of any goods until the Company has received and accepted your Order and received your Deposit as cleared funds.

2.0 Changes

2.1 No additions or changes to the Order will be valid unless agreed in writing by the Company. This includes any changes resulting from deviations to fixed dimensions given to us by you or your agent. In the event of such alterations a surcharge may be made at the discretion of the Company.
2.2 The prices quoted for appliances apply at the date of Quotation. The Company reserves the right to pass on such increases as may be imposed by manufacturers prior to delivery.

3.0 Payment – Initial Deposit

3.1 An initial deposit payment of 50% of the total Order price, including VAT, is due on acceptance of the Quotation.
3.2 At this stage we will finalise your client specifications and produce a Sales Order and Plans for client sign off.

4.0 Payment – Final Instalment

4.1 The remaining 50% balance of the total Order price, including VAT, is payable ten working days prior to the scheduled delivery date.
4.2 In the event of delivery being delayed due to site conditions, or other similar factors for which the Company is not responsible, this payment remains due at the originally scheduled date unless agreed in writing by the Company.
4.3 Any additional orders outside of the Sales Order will result in an interim invoice being submitted which is payable on presentation.

5.0 Supply Only

5.1 If the Order is for the supply only of appliances, then full payment is required on placing the Order with the Company.
5.2 If the Order is for the supply only of furniture, then normal terms apply as above.

6.0 Payment Methods

6.1 The Company accepts payment by bank transfer and credit card (up to the value of £10,000).

7.0 Late Payment

7.1 The Company reserves the right to charge interest on unpaid invoices at the rate of 12% per annum commencing 14 days from the date of the invoice.
7.2 In the event of late or non-payment and without affecting any other rights or remedies of the Company, the Company shall be entitled to either suspend delivery of the goods and their installation without notice and charge interest until all amounts owing (including accrued interest) have been paid in full or terminate the contract by notice to you in writing.

8.0 Ownership and Risk

8.1 Only once cleared funds in full payment of the Final Instalment have been received will ownership pass from the Company to you upon the delivery of the goods.

9.0 Cancellation

9.1 Cancellation of orders will only be accepted prior to any furniture order being placed with the manufacturer/supplier, if the Company has agreed in writing, and on condition that you reimburse the Company all costs and expenses or losses and damages resulting from the cancellation.

10.0 Installation

10.1 It is your responsibility to ensure the site is ready for installation including, but not limited to:

10.2 The charge for fitting includes the dry fit installation of the furniture, worktops and appliances as detailed in the Order unless otherwise specified. The installation charge assumes that the work can be carried out in a single continuous visit. If site conditions, or other factors outside the Company’s control, necessitate further visits by our fitters an extra charge will be made.
10.3 For all appliances which are not supplied by Adaptations, an additional dry fitting charge of £100 plus VAT per appliance will be made.
10.4 The installation charge does NOT include the following unless otherwise agreed:

10.5 If any of the above services are required, we would be pleased to prepare an additional Quotation.

11.0 Worktops

11.1 Following installation of the kitchen furniture a template will be taken for your worktops (if applicable). The worktops will be fitted within 14 days of the template being taken.

12.0 Timber Movement

12.1 Timber naturally adjusts its moisture content to match its surroundings, called the equilibrium moisture content (EMC), to prevent movement. It either absorbs moisture from the air or dries out to acclimatise. Changes in moisture content cause timber to expand in humid conditions and shrink in dry ones.
12.2 Most movement happens within the first 2-3 months after installation as the timber adapts to its new environment. Ideally, indoor moisture levels should be 50-60% with temperatures between 19-24°C. Note that wood is natural and may exhibit colour and grain variations, and some shrinkage or movement may occur despite careful selection.

13.0 Variations in Colour

13.1 You will be shown a sample of a typical piece of furniture and worktop. Due to the nature of some of the timbers and worktops used, there will be natural variations in colour and surface markings.
13.2 No guarantee is given that the furniture and worktops supplied will be an exact replica in terms of colour and surface markings as those displayed in the Company’s showroom.

14.0 Fitting Tolerances

14.1 Voids and fillers surrounding installed furniture are part of the normal fitting tolerances and cannot be accepted as a basis for complaint.

15.0 Storage

15.1 Your delivery charge includes storage for up to 30 days.
15.2 If your agreed delivery date is extended after your Order has been placed then we will make a charge for the storage of your furniture at a rate of £60.00 per week plus VAT.

16.0 Warranty

16.1 All goods supplied by the Company are warranted free from defects.
16.2 All goods must be inspected immediately following installation (no later than seven days) and will be repaired or replaced free of charge if found to be defect or damaged, in any way, arising from the installation by the Company’s representatives.
16.3 This warranty does not apply to any defect arising from:

17.0 Disputes

17.1 These terms and conditions are governed by English law and any dispute shall be subject to the jurisdiction of the English Courts.
17.2 If any of these terms and conditions is held to be invalid or unenforceable, it will not affect the other conditions.

18.0 Data Protections

18.1 You consent to the computer storage and processing of your personal date by the Company and the transmission of this data across the Company and its partners for the purpose of the Company’s legitimate interests including statistical analysis, marketing and delivery of services and credit control.
